1 Acceptance of Terms

By accessing, browsing, or utilizing the ClauseDrop platform (the "Service"), operated by Your Legal Indian ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of the terms and conditions, you are strictly prohibited from using the Service.

2 Not a Law Firm; No Legal Advice

CRITICAL NOTICE: ClauseDrop is a software utility providing generic, self-help legal templating and information. We are not a law firm. We do not provide legal advice, customized contract review, or legal representation.

Your use of the Service does not create an attorney-client relationship between you and ClauseDrop or Your Legal Indian. The clauses provided are boilerplate frameworks based on Common Law principles. Because the law changes rapidly and varies by jurisdiction, we cannot guarantee that any specific clause is accurate, up-to-date, or suitable for your specific legal situation. You are strongly advised to have all agreements reviewed by a qualified, locally licensed attorney before execution.

3 Intellectual Property & Usage Rights

Your Output: Upon upgrading to a Premium (Pro) account, you are granted a worldwide, non-exclusive, perpetual license to use, modify, and integrate the copied clauses into your own contracts, agreements, and deliverables for your clients.

Platform Restrictions: The compilation, categorization, and formatting of the ClauseDrop database are the exclusive intellectual property of the Company. You are strictly prohibited from:

  • Using automated bots, scrapers, or scripts to extract the clause library.
  • Reselling, redistributing, or publishing the library as a competing product or database.
  • Using the platform's data to train Large Language Models (LLMs) or artificial intelligence systems without explicit written consent.

4 Payments and Refunds

Access to premium clauses requires a one-time or subscription payment depending on your selected jurisdiction tier. Payments are securely processed via third-party gateways (e.g., Razorpay, Stripe). Because ClauseDrop provides immediate access to digital intellectual property, all sales are final and non-refundable once a premium clause has been successfully unlocked and accessed on your account.

5 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ClauseDrop, Your Legal Indian, or its directors, employees, or affiliates be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses arising out of or relating to the use of, or inability to use, the service.

Under no circumstances will the total liability of the Company, whether in contract, tort, or otherwise, exceed the total amount actually paid by you to the Company for the service during the twelve (12) months immediately preceding the claim.

6 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
